On November 13, 2014, thirteen new non-executive employees were issued restricted stock unit awards covering a total of 261,686 shares of common stock. The restricted stock unit awards vest in four equal annual installments beginning on the date of hire of each of the new employees. The awards were approved by the independent compensation committee of the Company’s board of directors and were granted as an inducement material to the new employees entering into employment with the Company in accordance with Nasdaq Marketplace Rule 5635(c)(4).
